Owings Mills, MD, July 1, 2026 — Healthcare Transactions Group (HTG) announced today that it has arranged the sale of the Southampton Memorial Hospital Skilled Nursing Facility (SNF), a 95-bed, not-for-profit, hospital-based skilled nursing facility in Franklin, Virginia.

The SNF is connected to Bon Secours Southampton Medical Center, a 90-bed acute care hospital on a 24.7-acre campus. Built in 1970 and expanded in 1979, the Southampton SNF is a one-story, 61,296-square-foot facility with a basement and holds a coveted 5-star rating on Medicare’s Care Compare.

YAD Healthcare acquired the facility. YAD operates skilled nursing facilities across Virginia and North Carolina. The transaction closed on June 30, 2026. Terms of the transaction, including price, were not disclosed.

The transaction required extensive planning and negotiation, as the SNF currently shares services and physical infrastructure with the hospital. Following the closing, the SNF will be separated from the hospital’s infrastructure and transition into a self-sufficient operation, a process expected to take up to two years.

HTG initiated and led the transaction as the exclusive mergers and acquisitions advisor to Bon Secours Mercy Health (BSMH). Mark Davis, President of HTG, managed the engagement. “This was a complex assignment, particularly in resolving the shared campus, land, building systems, engineering, and support services issues,” said Davis. “But we have hands-on experience with hospital transactions to navigate these challenges successfully.”

HTG previously advised BSMH in divesting its 15-facility, 1,931-bed skilled nursing, assisted living, and independent living portfolio across Ohio, Florida, and Virginia. The Southampton SNF was the last remaining skilled nursing facility within the BSMH system.
