Healthcare Transactions Group represents companies and individuals in selling their healthcare enterprises.

Healthcare Transactions Group provides a range of intermediary and advisory services to plot, navigate, coordinate and execute a successful transaction, with the utmost professionalism, integrity and confidentiality.   The following describes the way these engagements work in terms of roles and responsibilities.

Seller is obligated to:

  1. Customarily pay Healthcare Transactions Group an initial non-refundable retainer or advance.
  2. Grant Healthcare Transactions Group the sole and exclusive right to sell business as dispositions consultant.   All prospects, including those who contacted or who will contact the seller, are covered by the exclusivity restriction
  3. Pay Healthcare Transactions Group a Success Fee, calculated as a percentage of the selling price, upon sale of the business

Healthcare Transactions Group performs the following services on behalf of the Seller:

  1. Conduct a Pre-Marketing Evaluation of historical and current financial and operating performance, potential upsides and asking price range
  2. Prepare a Confidential Offering Memorandum, containing key historical and prospective information about the company, including Overview of Company Services and Products, History, Location, Financial and Operational Results, Selling Price and Transaction Issues such as Reasons for Selling and Rationale and Justification for Price, Key Investment Highlights and Growth Potential and Service Area Demographic and Competitive Data.
  3. Identify Target Prospects and Solicit Prospective Buyers
  4. Coordinate Execution of Confidential Agreements by Prospective Buyers
  5. Disseminate Offering Memoranda to Prospective Buyers
  6. Advise Seller in Selecting First Cut of Prospective Buyers
  7. Conduct Initial Negotiations with Prospective Buyers
  8. Advise Seller in Selecting Next Cut and Negotiate with Prospective Buyers
  9. Advise Seller in Selecting Prospective Buyer
  10. Coordinate Buyer Due Diligence and Negotiation of Definitive Purchase Agreement
  11. Oversee Dispositions Process to Closing
