Sale of Warner Robins Nursing and Rehabilitation Center in Georgia from Kindred

Transactions Group closed a transaction in its 24th State, since the Company's
founding. Healthcare Transactions Group closed the sale of Menlo Park Care
Center, Menlo Park, California, on behalf of G & K Industries.

On February 21, 2003, Healthcare
Transactions Group closed the sale of Comprehensive Addiction Programs, Inc.
(CAPS) to CRC Health Corporation (CRC) for $37.5 million. Healthcare
Transactions Group initiated the transaction and provided financial and
divestiture advisory services to CAPS. CAPS owns and operates sixteen
residential and outpatient addiction treatment facilities that are now part of CRC, making the Company the nation's largest network of privately held addiction
and recovery facilities. This may be the largest single M & A transaction

On May 2-3, 2003, Mark Davis, President of Healthcare Transactions Group spoke
at the Art of the Deal Conference, San Antonio, Texas, the largest annual gathering of
buyers and sellers of home health care companies in the nation. Mr. Davis
addressed the conference on Healthcare Mergers and Acquisitions Issues and Strategies in home
health care. In addition, Healthcare Transactions Group, Inc. had an
exhibit at the Conference.

In April 2003, Healthcare Transactions Group closed the
purchase of Daniella Health and Wellness Spa, Bonita Springs, Florida on behalf
of The Aevium Group, a startup company for the development and operation of
Medical Day Spas. Healthcare Transactions Group initiated the purchase and
provided advisory services to Aevium, the buyer. This closing represents
Healthcare Transactions Group's first successful transaction in the growing
Healthy Living and Alternative Medicine field.
